the second party (hereinafter referred
to as the "Licensee")
entered
into the following Agreement:
Article 1
Preamble
1.1 The Author is an exclusive owner of copyrights to the graphic
design of the "KOŠTĚ" logotype, including any related knowledge to
their use (hereinafter referred to as the "Work") and he is entitled
to dispose of the Work independently and without any limitations, without any
subsequent legal defects of such acting. The Author is willing to assign the
right to use the above-mentioned Work unto the Licensee, who is willing to
acquire the licence to use this Work under the terms and conditions stipulated
by this Licence Agreement.
Article 2
Subject of Agreement on Use of the Work
2.1 The subject hereof shall be the right to use the Work
consisting in use of the Work in any known and practicable manners of use,
which are allowed by the nature of such Works.
Article 3
Scope of Use
3.1 Pursuant to this Agreement, the Licensee shall be entitled to
use the subject of this Agreement independently.
3.2 The Licensee shall be entitled to use the Author's Work
without any limitation.
3.3 Pursuant to this Agreement, the Licensee shall not be entitled
to sub-licence the Work, i.e. the right to use the Work, acquired by it
hereunder, to any third person without a written approval by the Author.
Article 4
Territory of the Work Use
4.1 The Licensee acquires the subject of this Agreement to be used
within the territory of the Czech Republic.
Article 5
Rights and Obligations of the Author
5.1 Upon granting the licence to exercise the right to use the
Works, the Author shall be obliged to allow any intervention to the right to
use the Works within the scope ensuing from this Agreement.
5.2 The Author grants the Licensee this licence as an exclusive
licence. The contracting parties acknowledge that the Author may not grant the
licence to any third person and he shall be obliged to refrain himself from any
exercise of the right to use the Work in any manner, to which he has granted
the licence to the Licensee.
5.3 The Author grants the Licensee the licence to exercise the
right to use the Work upon its processing. By virtue of this Agreement, the
Licensee shall be entitled to modify or change the Work.
5.4 The Author shall be entitled to withdraw from this Agreement
by means of a written notice delivered to the Licensee, if the Work, which has
not been published yet, does not correspond to his persuasion and the
publication of the Work would adversely affect his justifiable personal
interests. The Agreement shall be cancelled on the day of delivery of such
withdrawal notice to the Licensee. In the event of withdrawal from this
Agreement under this paragraph, the Author shall be obliged to pay the Licensee
any actually arisen damage. Should the Author, following the withdrawal from
the Agreement under this paragraph, repeatedly manifest his interest in use of
the Work, he shall be obliged to offer the licence to the Licensee
preferentially.
Article 6
Legal Correctness
6.1 The Author shall be liable towards the Licensee for the legal
