Ing. Vladimír Petrák, CSc.,

on the second part (the "Author")

License Agreement on Software Distribution

 

Article 1

Subject Matter

 

1. Hereby, the Author represents that he is the sole author of the work - software called "Receivables from Debtors" - and that this work is of his own production and original intellectual work.

 

2. The work under Subsection 1 of this Article is the subject matter of this License Agreement on Software Distribution.

 

Article 2

License

 

1. Hereby, the Author grants the Licensee a license for copying and distribution of the work.

 

2. The license granted hereunder is of exclusive nature.

 

Article 3

Sublicense

 

The Licensee has the right to grant a full or restricted right of use as part of this license to a third party in the form of sublicense. The Licensee shall notify the Author as soon as possible about any such sublicense granted, the sub-licensee and scope thereof.

 

Article 4

Author's Restrictions

 

Hereby, the Author represents that he is aware of the fact that because of having granted an exclusive license to the Licensee, he is not allowed to grant any license or sublicense to a third party and that the Author himself must refrain from exercising the right under Article 2 hereof.

 

Article 5

Distribution of Work

 

1. The Licensee shall start distributing the work under Article hereof no later than by October 1, 2004.

 

2. The Licensee shall notify the Author as soon as possible and in writing about the start date of the work's distribution.

 

Article 6

Termination for Licensee's Inactivity

 

1. If the Licensee fails to perform its obligations under Article 5(1) hereof, the Author has the right to request that the Licensee start distributing the work within a month. If the Licensee fails to comply with such request, the Author may terminate this Contract. The Author shall remind the Licensee about the possibility of terminating this Contract for inactivity in the Author's request.

 

2. The Author's entitlement to remuneration under Article 7 hereof is not affected by any termination hereof.

 

3. If this Contract is terminated, the Licensee shall return to the Author as soon as all and any things provided by the Author hereunder.
